These Terms of Service ("Terms") govern your access to and use of the website at https://www.bank-statements.co ("Site") and the bank statement conversion services ("Services") operated by Vertial Holdings Pty Ltd (ABN 72 629 494 926), trading as Bank-statements.co ("we", "us", "our").
By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site or Services.
1. About Our Services
Bank-statements.co provides an online platform that converts bank statement PDF files into structured data formats including Excel (.xlsx) and CSV. Our Services use artificial intelligence to extract transaction data from uploaded documents.
We support bank statements from financial institutions worldwide. While we strive for high accuracy, converted output should be verified by the user before relying on it for financial, legal, or compliance purposes.
2. Account Registration
- You must create an account to use our Services. Account creation is managed through Clerk, our authentication provider.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the security of your account credentials and for all activity under your account.
- You must be at least 18 years old to create an account.
- You must notify us immediately at info@bank-statements.co if you suspect unauthorised use of your account.
3. Credits, Payments, and Subscriptions
3.1 Credit System
Our Services operate on a credit-based system. Credits are consumed when you upload and convert bank statement PDFs. The number of credits used depends on the number of pages in the uploaded document.
3.2 Free Credits
New users receive 50 free credits upon registration. Free credits are subject to the same terms as purchased credits.
3.3 Subscriptions
Paid plans are available as monthly subscriptions. Subscription pricing and credit allocations are displayed on our Pricing page. Prices are in US dollars (USD) unless otherwise stated.
3.4 Payment Processing
All payments are processed securely by Stripe. We do not store your full credit card details. By making a purchase, you agree to Stripe's terms of service.
3.5 Refunds
Refund requests are assessed on a case-by-case basis. If our Services fail to process your document correctly due to a technical error on our end, we will refund the credits consumed or provide a monetary refund at our discretion. Contact info@bank-statements.co for refund requests.
Under Australian Consumer Law, you are entitled to a refund if our Services have a major failure or do not meet consumer guarantees.
3.6 Credit Expiry
Credits have an expiry date as indicated at the time of purchase or allocation. Expired credits are not refundable.
4. Acceptable Use
You agree not to:
- Upload any documents you do not have the legal right to process
- Use the Services for any unlawful purpose, including money laundering, fraud, or identity theft
- Upload forged, altered, or fraudulent bank statements
- Attempt to gain unauthorised access to our systems, other user accounts, or our infrastructure
- Reverse-engineer, decompile, or disassemble any part of our software or Services
- Use automated systems (bots, scrapers) to access the Site or Services without our written permission, except through our published API
- Interfere with or disrupt the integrity or performance of the Services
- Resell or redistribute our Services without our written agreement
We reserve the right to suspend or terminate your account if you violate these terms.
5. API Usage
Access to our API is subject to these Terms plus any additional API-specific terms. API keys are personal and must not be shared. We reserve the right to impose rate limits, usage quotas, and revoke API access for misuse.
6. Uploaded Content and Data
- You retain all ownership rights to the documents you upload and the converted output.
- By uploading documents, you grant us a limited, temporary licence to process the files solely for the purpose of providing the Services.
- Uploaded files and converted output are retained on our servers only for as long as needed to provide the Services. You can delete your files at any time from your dashboard.
- We do not use your uploaded documents or extracted data to train machine learning models or for any purpose other than providing the Services.
- You are solely responsible for ensuring you have the legal right to upload and process any documents.
7. Accuracy and No Financial Advice
While we strive for high accuracy in our conversions, we do not guarantee that converted output is 100% accurate. You are responsible for verifying the accuracy of converted data before using it for any financial, legal, tax, or compliance purpose.
Our Services do not constitute financial advice, accounting advice, legal advice, or any other form of professional advice. We are a data conversion tool only.
8. Intellectual Property
- The Site, Services, software, design, logos, and all related content are the property of Vertial Holdings Pty Ltd and are protected by Australian and international copyright, trademark, and intellectual property laws.
- You may not copy, reproduce, distribute, or create derivative works from any part of our Site or Services without our prior written consent.
- The Bank-statements.co name and logo are trademarks of Vertial Holdings Pty Ltd.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total aggregate liability to you for all claims arising from or related to the Services is limited to the amount you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- We are not liable for any errors, omissions, or inaccuracies in converted output data.
- We are not liable for any loss arising from your failure to verify converted output.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
10. Indemnification
You agree to indemnify and hold harmless Vertial Holdings Pty Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Service Availability
We aim to provide reliable, uninterrupted access to our Services, but we do not guarantee 100% uptime. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service downtime.
12. Termination
- You may close your account at any time by contacting us at info@bank-statements.co.
- We may suspend or terminate your account at any time if you violate these Terms, with or without notice.
- Upon termination, your right to use the Services ceases immediately. Unused credits are not refundable upon termination for cause.
- Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Dispute Resolution
If a dispute arises between you and us, we encourage you to first contact us at info@bank-statements.co to seek an informal resolution. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal proceedings.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for any dispute arising from these Terms or the Services.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the Site at least 14 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
17. Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.
18. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
19. Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, pandemics, or third-party service failures.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vertial Holdings Pty Ltd regarding your use of the Services.
